Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member" or "you") and BakeDesk ("we", "us", or the "Service"). By registering for an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

2. Description of the Service

BakeDesk is a software-as-a-service booking and schedule management dashboard provided for the benefit of shop owners operating custom cake, cookie, and related bespoke food businesses. The Service enables Members to publish an order intake form, receive and manage customer inquiries and orders, configure availability and lead times, and communicate order status to their customers.

BakeDesk is a facilitation platform only. We are not a party to any transaction, contract, or dispute arising between a Member and that Member's customers, and we do not process, hold, or guarantee any payment made between them.

3. Account Registration and Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to register for an account. You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information.

You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support.bakedesk@gmail.com upon becoming aware of any unauthorized use of your account.

4. Member Rights

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own commercial purposes.

You retain full ownership of all content you upload to the Service, including your business information, menu items, imagery, and customer records. You may export or request deletion of your data at any time, and you may terminate your account at any time through the account settings within the dashboard.

5. Member Obligations

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including consumer protection, food safety, allergen disclosure, tax, and data protection laws applicable in your jurisdiction.

You shall not: (a) misrepresent your identity or business; (b) upload unlawful, infringing, deceptive, or harmful content; (c) attempt to gain unauthorized access to the Service, its infrastructure, or other Members' data; (d) reverse engineer, decompile, or create derivative works of the Service; or (e) use the Service to transmit unsolicited bulk communications.

You are solely responsible for the accuracy of the pricing, availability, allergen, and fulfilment information you publish, and for honouring orders accepted through your order form.

6. Plans, Fees and Limits

The Service is offered on a free plan subject to usage limits, and on paid plans that remove those limits. Plan features, order limits, and applicable fees are disclosed within the dashboard and may be amended prospectively upon reasonable notice. Fees are non-refundable except where required by applicable law.

7. Payments Between Members and Customers

The Service currently supports manual transfer arrangements only. Members are responsible for issuing payment instructions, verifying receipt of funds, marking orders as paid, and administering their own deposit, cancellation, and refund policies. BakeDesk bears no liability for any failed, delayed, disputed, or fraudulent payment.

8. Service Availability and Modifications

We endeavour to maintain uninterrupted availability of the Service but do not warrant that it will be error-free or continuously accessible. We reserve the right to modify, suspend, or discontinue any feature of the Service, in whole or in part, with reasonable notice where practicable.

9. Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably determine that you have breached these Terms, that your use poses a security or legal risk, or that continued provision is not commercially reasonable. Upon termination, your licence to use the Service ends immediately, and we may delete your data following a reasonable retention period.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BakeDesk shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the Service. Our aggregate liability arising out of these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless BakeDesk and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your dealings with your customers, or your breach of these Terms or applicable law.

13. Amendments

We may revise these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use of the Service following the effective date of any revision constitutes acceptance of the amended Terms.

14. Governing Law and Contact

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BakeDesk is established, without regard to conflict-of-law principles.
